Morgan Stanley’s Staking-Enabled ETFs: The Fee War No One Is Talking About

The cheapest ETF on the market isn’t from a crypto-native firm—it’s from a 90-year-old bank. On July 28, Morgan Stanley launched MSSE and MSOL, the first U.S. ETFs to include staking rewards, with a fee of just 0.14%. That’s lower than Grayscale’s 0.15% and Franklin Templeton’s 0.19%. And they deliver up to 100% of staking yield to shareholders. Decoding the invisible edge in the block: this is a direct assault on the incumbent fee structure.

Context Morgan Stanley’s digital asset unit isn’t new. They already manage over $14 billion across their ETF series, with the Bitcoin ETF MSBT hitting $3.81 billion in AUM after a $34 million first-day volume. Now they’ve solved the tax puzzle. The IRS safe harbor rule (Revenue Procedure 2025-31) allows staking rewards to pass through as qualifying income, provided private keys are held by a third-party custodian and staking is run by independent providers. Figment, Galaxy, and Coinbase Canada handle the node operations. ETH staking target: 50–80%. SOL staking target: up to 100%. That’s a mechanical lock that reduces circulating supply.

Core Analysis Let’s peel the layers. Fee comparison: Grayscale Mini ETH charges 0.15% with no staking; Franklin SOEZ charges 0.19%; MSSE undercuts both by up to 26%. The staking yield is an added bonus—currently ETH staking APR around 3–5%, SOL around 6–8%. After the 0.14% management fee and up to 5% staking service fees, the net yield to investors is roughly 2.5–4.5% on ETH and 5–6.5% on SOL. That’s competitive with direct staking for anyone who doesn’t want to run their own validator or navigate DeFi’s smart contract risks.

But here’s the catch: Morgan Stanley is offering this at a loss leader price. Based on my audit of MEV-Boost relays for a Toronto fintech, I know that staking delegation introduces counterparty risk—the service provider could be hacked or slashed. The product’s viability depends on AUM scaling fast. At $3.8 billion for MSBT, the 0.14% fee generates only $5.3 million annually—a trivial sum for a bank with $600 billion in assets. They’re buying market share.

The infrastructure is robust: Foreside Fund Services handles marketing, Morgan Stanley Investment Management (MSIM) acts as sponsor. The trusts are grantor trusts, not open-end funds, which avoids the 1940 Investment Company Act’s leverage limits. It’s a clean wrapper for institutional capital flows.

Contrarian Angle The market is reading this as a bullish demand catalyst for ETH and SOL. I see a different narrative: this is the opening salvo in a fee war that will compress margins across the entire crypto ETF ecosystem. Grayscale and Franklin will be forced to cut fees or add staking within quarters. If they do, the incremental demand from this product is zero-sum—money shifts from one ETF to another, rather than new capital entering crypto.

More importantly, the staking yield is not as attractive as it seems after taxes. While the safe harbor rule simplifies reporting, investors still owe ordinary income tax on staking rewards at their marginal rate. For a high-net-worth client in California, that could be 50%+ combined federal and state. The after-tax yield drops below 2% for ETH—barely beating Treasuries. When the peg breaks, the truth arrives: the real value here is fee reduction, not yield.

Another blind spot: SOL’s securities status. The SEC is actively litigating whether SOL is a security in cases like Kraken. If the SEC wins, MSOL’s staking mechanism may be forced to unwind, or the fund could be liquidated. That’s a binary tail risk the market is ignoring.

Takeaway Watch for Grayscale’s next move. If they cut fees to 0.10% or add staking, Morgan Stanley’s advantage vanishes. The real alpha is in understanding that this isn’t a demand story—it’s a margin squeeze. Speed reveals what stillness conceals: the first to react will capture the flow. Meanwhile, keep one eye on the SEC’s SOL ruling. If it falls, the staking-on-ETF model collapses. If it holds, expect a wave of similar products from Goldman, Fidelity, and others. The architecture of belief vs. the code of fact.
